Trade offer - input wanted

A friend of mine is a huge Ravens fan and tries to have as many Ravens on his team as possible.

Here's the proposed trade:

I get:
Indy's D and his 5th round pick in next year's draft

He gets:
Baltimore's D


Points worth noting:
-Baltimore's D isn't nearly what it was in years past and has only scored 73 points in our league this year.
-I also have Minny's D (87 points this year), so it's not like I'll have a bad defense
-After I get Indy's D I'll probably drop them right away and pick up either Detroit (vs Denver) or Seattle's (vs Cleveland) D as Minny is playing SD this week and I don't really want to start them.
-This year the league is only $20, it's $75 next year, so doing well this year is not as important as doing well next year.
-I'm 5-3 but fading fast (lost Cadillac, Ronnie Brown and soon to be Travis Henry) and he is 6-2.
-It's only an 8 person league, so there should be some decent players left in the 5th round. We have 1 holdover each that doesn't count as a round.


Is there any reason NOT to do this trade? Seems too good to be true...

UPDATE:

Now he proposed this:

He gets: LJ and Baltimore's D

I get: Kevin Jones, Green Bay's D and his 2nd round pick next year.

Only downside is I might not have a clear holdover for next year. Ronnie Brown and Caddy are out for the year, Henry will be soon as well and I'll be giving up LJ.

Only players worth considering holding over:

Steve Smith (only bad thing is I'd really like to hold over a RB)
Maroney


Or I could say Steve Smith and Baltimore for Dwayne Bowe, Packers D and 2nd rounder next year. That way I can hold LJ over.

Maroney. I think Maroney is a top 8 fantasy RB for the next 5+ years.
